Any sites that are developed and hosted by SoftBear Shareware LLC are subject to these conditions.

PRIVACY: SoftBear Shareware LLC does not post, share, rent or sell any information obtained from this site (unless otherwise stated for contest winners).

WEB SITE DEVELOPMENT CLIENTS:

• Clients are responsible for page contents and SoftBear Shareware LLC is not to be held accountable or responsible for any legal fees or actions should they arise. Clients are responsible and accountable for obtaining any clearances that should be required.
• Subscribers must maintain an active account at all times. An active account is defined as an account that is paid in full and is current in all payments. Subscribers may pay for SoftBear Shareware LLC provided services via check or money order.
• Payments are billable monthly, in advance, beginning on the first of the month. All payments for Domain and Web Page services are non-refundable. There are no pro-rated refunds for any service If a Subscriber cancels any service prior to the billing anniversary date. The Subscriber agrees to pay all collection fees incurred on delinquent accounts.
• SoftBear Shareware LLC has the right to cancel or suspend service to any Subscriber for any of the following: Utilizing SoftBear Shareware LLC services to compromise the security of or to tamper with SoftBear Shareware LLC system resources or data on any of the SoftBear Shareware LLC computers, routers, terminal services, modems, or any other equipment at any site - Incomplete or inaccurate billing information, which includes legal name, address, telephone number, or, if necessary, to comply with the Internal Revenue Service rules and regulations, a social security number or tax identification number. SoftBear Shareware LLC also reserves the right to refuse service to any one that they deem displays inappropriate content or adult in nature.
• Clients may cancel their account at any time via written notification, telephone, or online. Termination of an account does not remove a Client's responsibility to pay all fees incurred.
• SoftBear Shareware LLC reserves the right to change any fee's for any services at any time at the sole discretion of SoftBear Shareware LLC.
• The Clients will indemnify and hold harmless SoftBear Shareware LLC together with its owners, officers, managers, and employees, from and against any and all liabilities, fees, debts, damages, suits, actions, judgments, injuries, losses, costs, and expenses (including without limitation, all attorney fees and court costs) or claims of whatsoever nature relating to any violation by any Subscriber of any law, rule, regulation, statute, order of promulgation of any court, agency or administrative body pertaining to the Internet.
• SoftBear Shareware LLC will make every reasonable effort to deliver Domain Web Sites 24 hours a day, 7 days a week, 365 days per year. However, we cannot and do not warrant or guarantee such availability. SoftBear Shareware LLC sole liability to any Subscriber for claimed error(s) or omission(s) by SoftBear Shareware LLC in the delivery or failure to deliver any service provided by SoftBear Shareware LLC shall be to restore service and/or to correct said error(s) or omission(s) as soon as practicable following notice by the Subscriber, and at SoftBear Shareware LLC sole option, to refund or to excuse payment for a proportionate amount of the fees due from Subscriber for such services. Such refund or excused payment shall not exceed the value of three (3) days of such service.
• This Agreement constitutes the entire agreement, understanding and representations, expressed or implied, between SoftBear Shareware LLC and the Client with respect to the subject matter hereof, including all oral or written proposals. This Agreement may be modified or amended only by a written instrument signed both by the Client and SoftBear Shareware LLC. Neither party will be obligated by or have any liability under any agreements or representations made by the other party that are not explicitly authorized in this Agreement or agreed to in writing by both parties.
• Should any term, provision or section of this Agreement be deemed unenforceable or invalid, it shall not affect the validity or enforceability of the remaining terms, provisions, or sections hereof, but such remaining terms, provisions or sections shall be construed and interpreted in such a manner as to carry out fully the intent of the parties hereto; provided, however, that should any judicial body interpreting this Agreement deem any provision hereof to be unreasonably broad in time, territory, scope or otherwise, it is the intent and desire of the parties hereto that such judicial body, to the greatest extent possible, reduce the breadth of such provision to the maximum legally allowable parameters rather than deeming such provision totally unenforceable or invalid.
• The failure of any party to enforce any of the provisions of this Agreement at any time will in no way be constructed to be a waiver of such provision, nor in any way affect the validity of this Agreement or any part hereof, or the right of any party thereafter to enforce each and every provision of this Agreement.
